TERMS AND CONDITIONS OF SALE FOR TRAINING

DirectMed Imaging’s acceptance of a purchase order containing different terms and conditions does not modify or supersede these terms and conditions.

  • CANCELLATION POLICY
    • The following guidelines outline the payment policy regarding student cancellations. These fees are for courses offered by DirectMed Imaging.  Airfare/Travel costs will not be refunded.
  • Training classes are non-refundable, but training credits are transferable to future classes within 12 months of the original training date.
    • DirectMed Imaging reserves the right to cancel any course with a 15-day notice. In the event a course needs to be canceled, students will be given the option of a full refund or enrollment into another upcoming course.
    • In the event of a change in date or class cancellation, DirectMed Imaging is not responsible for any arrangements or associated costs related to the class including transportation for any portion of the training services.
  • TRAINING MATERIALS
    • All training materials are intended for the exclusive personal use of the participant.
    • No part of any training materials may be used for any other purpose, reproduced, disseminated, or transmitted, or published in any form or by any means, electronic, mechanical, photocopying, recording or otherwise, or translated into any language without the prior written permission of DirectMed Imaging.
  • EXTENSION OF CREDIT

3.1   If credit is offered, the Customer shall pay for all purchases within the terms agreed (Start Date of Training or Net 30, whichever is sooner).

3.2   The Customer shall pay a service charge of 2% per month (24% annual percentage rate) on all past due balances.

3.3   In the event any third parties are employed to collect any outstanding monies owed, the Customer shall pay all reasonable collection costs. This includes all expenses DirectMed Imaging incurs from a third-party collection agency and/or lawsuit.

  • LIMITED WARRANTY

DIRECTMED IMAGING MAKES NO WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, REGARDING THE TRAINING(S) SOLD UNDER THIS POLICY AND HEREBY EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF SATISFACTORY QUALITY, ACCURACY, FITNESS FOR A PARTICULAR PURPOSE, AND OF NON-INFRINGEMENT OF THE RIGHTS OF A THIRD PARTY.

  • LIMITATION OF LIABILITY

DIRECTMED IMAGING’S TOTAL LIABILITY FOR ANY CLAIM UNDER THIS POLICY IS LIMITED TO THE PRICE OF THE TRAINING(S) WHICH ARE THE BASIS FOR SUCH CLAIM, REGARDLESS OF WHETHER SUCH CLAIM IS MADE AT LAW, IN TORT, IN CONTRACT OR PURSUANT TO ANY OTHER THEORY, INCLUDING STRICT LIABILITY. NEITHER DIRECTMED IMAGING NOR CUSTOMER WILL HAVE ANY LIABILITY TO THE OTHER FOR PUNITIVE, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES SUCH AS LOST PROFITS OR REVENUE, EVEN IF SUCH PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF THE SAME. THE TRANSACTION DESCRIBED IN AND THOSE OCCURRING PURSUANT TO THIS POLICY ARE EACH COMMERCIAL TRANSACTIONS. ANY ACTION RELATED TO THIS POLICY SHALL BE BASED SOLELY ON COMMERCIAL LAW PRINCIPLES. NEITHER PARTY SHALL HAVE ANY NEGLIGENCE OR OTHER TORT LIABILITY TO THE OTHER ARISING FROM THIS POLICY OR TRANSACTIONS OCCURRING PURSUANT HERETO.

  • INDEMNIFICATION

To the fullest extent permitted by law, Customer and all of its insurers, agents or employees shall indemnify, defend, and hold harmless DirectMed Imaging, LLC and all of its agents, insurers, and employees, from and against all claims, including but not limited to claims of property damage, personal injury or death and any liabilities, damages, losses, expenses, and attorneys’ fees, whatsoever arising out of, related to, or resulting from any training or associated activities facilitated by, taught by, and/or held on the premises of DirectMed Imaging.

  • EXPORT POLICY

Export of this item is subject to the U.S. Export Administration Regulations and may not be exported, reexported, or transferred (in-country) to a prohibited end-user, for a prohibited end-use (including nuclear, chemical, and biological weapons, or related missile delivery systems) or to sanctioned or embargoed countries (including Iran, Libya, North Korea, Sudan, Syria, or the Crimea region of the Ukraine) without prior authorization from the U.S. Department of Commerce, Bureau of Industry and Security.C
